SOOMI.NZ TERMS OF SERVICE. Effective Date: 1 April 2026. Last Updated: 1 April 2026. NORTH STAR — WHY SOOMI EXISTS: Soomi.nz is a 100% Kiwi-owned online marketplace built by New Zealanders for New Zealanders. We provide a fair, low-cost, transparent place for Kiwis to buy and sell household items, collectables, and antiques. 1. ACCEPTANCE OF TERMS. By accessing or using Soomi.nz (the "Platform"), including the website, any mobile application, or related services operated by SOOMI LIMITED ("Soomi.nz," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and all applicable New Zealand laws. If you do not agree, you must immediately stop using the Platform. 2. ELIGIBILITY. You must be at least 18 years old and legally capable of entering into binding contracts. By using the Platform you represent and warrant that you meet these requirements. 3. ACCOUNT REGISTRATION AND SECURITY. To list or purchase most items you must create an account. You agree to: provide accurate, complete, and up-to-date information; keep your account details and password secure; be responsible for all activity that occurs under your account. Notify us immediately at info@soomi.nz if you suspect unauthorised use. We may suspend or terminate accounts at our discretion. 4. LISTING ITEMS. When you list an item you represent and warrant that: (a) you have the full legal right to sell it and can transfer clear title to the buyer; (b) the description, photos, and all information are accurate and not misleading; (c) you will honour any sale at the agreed price and terms. Listings must comply with the Fair Trading Act 1986 (no misleading or deceptive conduct). 5. BUYING, BIDDING AND TRANSACTIONS. Placing a bid or accepting an offer creates a binding contract directly between the buyer and seller. Buyers must pay within the time stated in the listing (or within 3 days if none is stated). Failure to complete a transaction may result in account restrictions or termination. Important: Soomi.nz is only a venue. We are not a party to any transaction between users. All disputes (payment, condition, delivery, refunds, etc.) must be resolved directly between buyer and seller. 6. FEES AND PAYMENT. Listing is free. Sellers pay a flat $1 success fee (plus GST if applicable) per completed sale. No other fees unless clearly stated in advance. We may change fees in the future with reasonable notice on the Platform. You are responsible for any taxes or duties on your sales. 7. PROHIBITED ITEMS. You may sell whatever you want on Soomi.nz as long as it is legal under New Zealand law. We do not allow items that are illegal to possess, sell, or transfer in New Zealand. Determining legality is your responsibility. Soomi.nz is a neutral platform. We will only remove listings or take action against accounts where we reasonably believe the content is illegal or where required by law. 8. FIREARMS AND RELATED ITEMS. Firearms, parts, ammunition, and related items may be listed only if the entire transaction fully complies with the Arms Act 1983 and all regulations (including licence checks, Police forms, mail-order requirements, etc.). Full compliance is the sole responsibility of the buyer and seller. We strongly recommend both parties follow all Police and Firearms Safety Authority guidelines. 9. AUCTION AGGREGATION AND THIRD-PARTY DATA. Soomi.nz collates and displays publicly available information about timed online auctions from various independent New Zealand auction houses. This creates a single searchable, filterable, and sortable catalogue for the convenience of our users. All auction data we display is from publicly accessible web pages. We have no affiliation, partnership, ownership, or control over any auction house or their platforms. Every auction listing includes a direct external link to the original auction house's website. Any bidding, purchase, or transaction occurs entirely on their platform and is governed by their terms and conditions. We make no representations or warranties whatsoever about the accuracy, completeness, availability, or outcome of any external auction. We do not copy or store full creative content (such as high-resolution photographs or verbatim unique descriptions) beyond what is reasonably necessary to provide basic factual information and a link. If any auction house requests removal of their listings (in writing), we will act reasonably and promptly to honour that request. We respect robots.txt directives and any legitimate technical or legal objections. Users and traders are encouraged to visit the original auction house sites directly for the most up-to-date information and to support those businesses. We believe this service is a net benefit to the New Zealand auction ecosystem by increasing visibility and bringing new buyers. We will continue to operate this feature in good faith. 10. USER CONDUCT. You agree not to: harass, defame, threaten, or abuse other users; engage in fraud, scams, or misleading conduct; use bots, scrapers, or automated tools to harvest data (genuine browsing is fine); interfere with the operation of the Platform; post unlawful or infringing content. Breaches may result in immediate suspension or permanent termination. 11. INTELLECTUAL PROPERTY. You retain ownership of content you upload. By posting, you grant Soomi.nz a worldwide, royalty-free, perpetual, non-exclusive licence to use, display, reproduce, and distribute that content as needed to operate and promote the Platform. All trademarks, logos, and other IP on Soomi.nz belong to SOOMI LIMITED or our licensors. 12. LIMITATION OF LIABILITY. To the maximum extent permitted by New Zealand law, the Platform is provided "as is" without warranties of any kind. Soomi Ltd will not be liable for any indirect, incidental, consequential, or punitive damages. Our total liability to you is limited to the fees we have actually received from you in the 12 months prior to the claim. Nothing in these Terms excludes liability that cannot be excluded under New Zealand law (e.g. fraud or negligence causing death or personal injury). 13. INDEMNIFICATION. You agree to indemnify and hold SOOMI LIMITED, its directors, employees, and agents harmless from any claims, losses, damages, liabilities, and costs (including legal fees) arising from: your use of the Platform; your listings or transactions; your breach of these Terms. 14. TERMINATION. We may suspend or terminate your account at any time, with or without notice, for any reason (including breach of these Terms). 15. PRIVACY. Your privacy is important to us. Our Privacy Policy forms part of these Terms and explains how we collect, use, and protect your personal information under the Privacy Act 2020. See: Soomi.nz/Privacy. 16. CHANGES TO TERMS. We may update these Terms at any time. Material changes will be notified on the Platform or by email. Your continued use after changes means you accept the new Terms. 17. GOVERNING LAW. These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the New Zealand courts. 18. CONTACT US. For questions about these Terms, please email info@soomi.nz or use the contact form on Soomi.nz.
